Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Rushido platform, websites, mobile applications and related services (together, the “Platform”) provided by Easy Global Ventures, operating as Rushido (“Rushido”, “we”, “us”). By creating an account, ticking an acceptance box, or using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

1. What Rushido is

Rushido is software. We provide tools that let businesses create and run companies, franchise businesses and branches; manage orders, inventory, finance, construction and operations; publish a franchise listing; receive and process franchise applications; and store and sign documents. We do not operate any of the businesses on the Platform, we do not sell franchises, and we are not a party to any transaction or agreement between users.

2. Rushido is an intermediary, not a party

The Platform connects independent businesses (companies that recruit and manage franchisees) with independent applicants and franchisees. You acknowledge and agree that:

• Rushido is not a franchisor, franchisee, franchise broker, sales agent, or representative of any user, and is not a party to any franchise agreement, purchase agreement, lease, or other arrangement between users, including agreements uploaded to, signed on, or stored in the Platform.
• Rushido does not verify, endorse, or guarantee any company, franchise opportunity, listing, document, financial statement, earnings claim, or user. Information published by a user is that user’s sole responsibility.
• Rushido provides no legal, financial, tax, or franchise advice. You are responsible for your own due diligence and for obtaining independent professional advice before entering into any agreement.
• Any dispute, claim, loss, or liability arising between users (for example between a company and a franchisee, or between a franchise business and one of its branches) is solely between those users. Rushido has no obligation to become involved, and to the fullest extent permitted by law you release Rushido from any claim arising out of your dealings with other users.

Companies that recruit franchisees and users who apply to them are additionally bound by the Franchise Marketplace Terms, which form part of these Terms.

3. Accounts

You need one global account to use the Platform. You must be at least 18 years old, provide accurate and current information, and keep your credentials confidential. You are responsible for all activity under your account and for anyone you invite into a workspace you control. We may require identity verification, provided by Stripe Identity, before certain actions.

4. Companies, franchise businesses and branches

A company, franchise business, or branch on the Platform is a workspace controlled by the users you designate. The person who creates a workspace represents that they are authorized to act for that business. Each business is responsible for its members’ actions, for the content and documents it uploads, for the accuracy of its listing, and for its compliance with the laws that apply to it. Each business’s data is isolated from other businesses on the Platform, except where a workflow you initiate deliberately shares it (for example an application you submit to a company).

5. Subscriptions, fees and billing

• Paid plans are billed in advance on a recurring monthly or yearly basis and renew automatically until cancelled. Prices, plan limits and included features are shown at the time of purchase and in your subscription settings.
• Payments are processed by Stripe. We do not store card numbers. You authorize us and Stripe to charge your payment method for each renewal.
• If a renewal payment fails, your workspace enters a grace period of [7] days. If payment is not completed by the end of the grace period, the workspace becomes read-only until payment is made. Your data is retained during this time.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and partial periods are not prorated.
• Any application or processing fee shown during a franchise application is described at the point of payment. Fees exclude taxes; you are responsible for any applicable taxes.
• We may change prices with at least [30] days’ notice before your next renewal.

6. Documents and electronic signatures

Documents you upload remain yours. Where the Platform lets users sign a document electronically, the signature and the related record (time, signer, document version) are stored as evidence for the parties to that document. By signing electronically you consent to do business electronically under applicable law. Rushido does not review, approve, or advise on the contents of any document and is not a party to it.

7. Acceptable use

You agree not to:

• publish false, misleading, or unlawful listings, earnings claims, or documents;
• access or attempt to access data or workspaces you are not authorized to see;
• interfere with the security or operation of the Platform, or circumvent plan limits;
• use the Platform to violate franchise, consumer-protection, privacy, or employment laws;
• upload malware or content that infringes third-party rights.

8. Your content and data

You retain ownership of the content and data you submit. You grant Rushido a limited license to host, process, back up, display and transmit it solely to operate and improve the Platform and as described in the Privacy Policy. You are responsible for having the rights and consents needed for any personal data you enter about others (for example employees, customers, or applicants).

9. Third-party services

The Platform relies on third-party providers, including Stripe (payments and identity verification), Supabase and Vercel (hosting and infrastructure), Resend (email), and Apple and Google (mobile app distribution and push notifications). Their terms apply to their services, and we are not responsible for their availability or conduct.

10. Intellectual property

The Platform, its software, design, and the Rushido name and marks are owned by Easy Global Ventures or its licensors. These Terms do not grant you any rights in them other than the limited right to use the Platform as intended.

11. Disclaimer of warranties

The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, Rushido disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Rushido does not warrant any outcome, revenue, approval, or business result from using the Platform.

12. Limitation of liability

To the fullest extent permitted by law, Rushido will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Platform or any dealings between users. Rushido’s total liability for all claims in any twelve-month period will not exceed the amount you paid to Rushido for the Platform in that period, or [USD 100] if you paid nothing.

13. Indemnification

You will defend, indemnify and hold harmless Rushido and its officers, employees, and contractors from any claim, loss, liability, and expense (including reasonable legal fees) arising out of your use of the Platform, your content, your business operations, your relationship with any franchisor, franchisee, applicant, customer, or employee, or your violation of these Terms or of any law.

14. Suspension and termination

We may suspend or terminate access to the Platform, or remove content or a listing, if we reasonably believe these Terms or the law have been violated, if a subscription remains unpaid, or where required to protect other users or the Platform. You may stop using the Platform and delete your account at any time; sections that by their nature should survive (including 2, 8 and 11 through 15) survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of [New York], without regard to its conflict-of-law rules. [Any dispute between you and Rushido will be resolved exclusively in the state or federal courts located in [New York County, New York] / by binding individual arbitration under [AAA rules] — counsel to select], and you consent to that jurisdiction. Disputes between users are governed by section 2.

16. Changes to these Terms

We may update these Terms. When we make material changes we will post the new version with a new version number and, where required, ask you to accept it again before continuing to use the Platform. Continued use after the effective date constitutes acceptance.
